Terms of Service

Last updated: 16 October 2026

These Terms govern your access to and use of EXO NODES. Please read them carefully, together with our Privacy Policy, which explains how we handle personal data.

1. Acceptance of these Terms

These Terms of Service (the “Terms”) are an agreement between EXO LOGICS LLC, Sharjah, United Arab Emirates (“EXO LOGICS”, “we”, “us”) and the business that registers for or uses EXO NODES (the “Customer”, “you”).

By creating an account, clicking to accept, or using EXO NODES, you agree to these Terms. If you accept on behalf of a company or other organisation, you confirm that you have authority to bind it. If you do not agree, do not use the service.

Where you and we have signed a separate written agreement or order form for EXO NODES, that agreement prevails over these Terms to the extent they conflict.

2. The service

EXO NODES is multi-tenant cloud business software provided as a subscription service. Depending on your plan, it includes point of sale, back office, accounting, inventory and AI assistants, together with related apps, websites and interfaces (together, the “Service”). We may improve, change or discontinue features over time. If we remove a feature that is material to a paid plan you are on, we will give you reasonable advance notice.

3. Accounts and security

  • You must give accurate and complete registration details and keep them up to date.
  • You are responsible for the people you invite to your account, the roles and permissions you give them, and everything done under your account.
  • Keep passwords, PINs and devices paired to your account secure. Tell us promptly if you believe your account has been accessed without authorisation.
  • You must be legally able to enter into contracts, and you must use the Service for business purposes.

4. Your responsibilities

EXO NODES provides tools that help you calculate tax, issue invoices, keep accounts and prepare returns. You remain responsible for:

  • the accuracy of the information you enter, including your tax registration details, tax rates and categories, prices, and customer and supplier details;
  • reviewing the invoices, credit notes, returns and other documents the Service produces before relying on or submitting them;
  • your tax filings, payments and other obligations to any tax or regulatory authority, and for compliance with the laws that apply to your business;
  • having a lawful basis, and giving any notices required, for the personal data you process using the Service.

The Service does not provide legal, tax or accounting advice. Please consult a qualified adviser where you need it.

5. Subscriptions, fees and taxes

  • Plans and fees. Fees are set out on our pricing page or in your order form. Unless stated otherwise, subscriptions are billed in advance for each billing period and renew automatically until cancelled.
  • Taxes. Fees are exclusive of value added tax (VAT) and other applicable taxes, which will be added where required by law and shown on our tax invoice.
  • Free plan and trials. We may offer a free plan or a free trial. These are subject to the limits described for that plan and may be changed or withdrawn. At the end of a trial, the Service will continue on a paid plan only if you choose one.
  • Changes to plans and prices. We may change our plans or prices. We will give you reasonable advance notice of any price increase affecting your subscription, and it will apply from your next billing period. If you do not agree, you may cancel before the change takes effect.
  • Late payment. If fees are overdue, we may, after giving notice, suspend paid features until payment is received.
  • Refunds. Except where required by law or stated in your order form, fees already paid are non-refundable.

6. Acceptable use

You must not, and must not allow anyone else to:

  • use the Service for any unlawful purpose, including tax evasion, fraud, money laundering or issuing false invoices;
  • circumvent approval workflows, permissions, audit trails or usage limits;
  • attempt to access another customer’s data, or probe, scan or test the Service for vulnerabilities without our written permission;
  • interfere with or overload the Service, or introduce malware;
  • copy, resell, sublicense or reverse-engineer the Service, except as permitted by law;
  • upload content that infringes others’ rights or that you do not have the right to process;
  • use the Service to send unsolicited messages in breach of applicable law.

7. Your data

You own your data. As between you and us, you own all data that you or your users enter into or generate through the Service (“Customer Data”).

Our licence to process. You grant us a limited, non-exclusive licence to host, copy, process and display Customer Data only as needed to provide, secure and support the Service, to comply with law, and as you instruct. We process personal data within Customer Data as your processor, as described in our Privacy Policy.

Aggregated information. We may use information about how the Service is used, in aggregated form that does not identify you or any individual, to operate and improve the Service.

Records we must keep. Some records, such as issued tax invoices and their audit trail, cannot be deleted or altered once issued, so that they remain reliable for tax purposes; they are corrected through credit notes or voids instead.

8. AI features

  • AI assistants in the Service process Customer Data to provide the features you use. We may use third-party AI model providers acting as our processors.
  • AI output can be incomplete or wrong. You are responsible for reviewing AI output before relying on it.
  • AI assistants propose actions; actions that change your records require approval by an authorised user before they take effect. You are responsible for the actions you approve.
  • AI usage is metered and subject to the caps of your plan. When a cap is reached, AI features may pause until the next period or until the cap is raised.
  • We do not use your business data to train third-party foundation models.

9. Third-party services and integrations

The Service may let you connect third-party products, such as payment providers, payment terminals, accounting systems, marketplaces and messaging channels. Your use of those products is governed by your agreement with their provider. We are not responsible for third-party products or for data once it leaves the Service at your direction, and an integration may stop working if the third party changes or withdraws it.

10. Availability and support

We use reasonable efforts to keep the Service available and to maintain it with reasonable skill and care. The Service may be unavailable from time to time for planned maintenance, for which we will try to give notice, or for reasons outside our control. No specific service level, uptime commitment or support response time applies unless it is set out in a separate written agreement with us.

11. Intellectual property

We and our licensors own the Service, including its software, design, documentation and the EXO NODES and EXO LOGICS names and logos. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription; they do not transfer any ownership to you. If you send us feedback or suggestions, we may use them without obligation to you.

12. Confidentiality

Each party will keep confidential the non-public information it receives from the other in connection with the Service, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is or becomes public without breach, was already known to the recipient, is independently developed, or is lawfully received from a third party. A party may disclose confidential information where required by law, giving the other party notice where lawful.

13. Disclaimers

Except as expressly stated in these Terms, and to the extent permitted by law, the Service is provided “as is” and “as available”, and we make no other warranties, whether express or implied, including as to merchantability, fitness for a particular purpose or that the Service will be uninterrupted or error-free. Free plans and trials are provided without any warranty.

14. Limitation of liability

To the extent permitted by law:

  • neither party is liable for any indirect or consequential loss, or for loss of profits, revenue, business or goodwill;
  • each party’s total liability arising out of or in connection with these Terms in any 12-month period is limited to the fees you paid us for the Service in the 12 months before the event giving rise to the claim;
  • for free plans and trials, our total liability is limited to AED 100 or the minimum permitted by law, whichever is higher.

These limits do not apply to your obligation to pay fees, to your indemnity obligations under section 15, or to liability that cannot be limited by law, such as for fraud or wilful misconduct.

15. Indemnity

You will indemnify us against claims, losses and reasonable costs brought by a third party arising from Customer Data, from your breach of these Terms or of law, or from your use of the Service other than as permitted. We will notify you promptly of any such claim and allow you to control its defence, and you will not settle it in a way that imposes an obligation on us without our consent.

16. Term, termination and data export

  • These Terms apply from when you first use the Service until your subscription ends.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period.
  • We may suspend or terminate your access if you materially breach these Terms and do not remedy the breach within a reasonable period after notice, or immediately where necessary to prevent harm, fraud or a breach of law.
  • Data export. For a limited period after your subscription ends, you can export your Customer Data using the Service’s export features or by asking us. After that period, we will delete it, except records we must keep by law, which we retain for the periods required by applicable tax and commercial law.
  • Sections that by their nature should survive termination — including fees owed, confidentiality, disclaimers, limitation of liability, indemnity and governing law — continue to apply.

17. Governing law and disputes

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah. Before starting proceedings, the parties will try in good faith to resolve any dispute by discussion. Disputes that are not resolved will be subject to the exclusive jurisdiction of the courts of the Emirate of Sharjah.

18. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above shows the latest version. If a change is material, we will give you reasonable advance notice, for example by email or a notice in the Service. By continuing to use the Service after a change takes effect, you accept the updated Terms; if you do not agree, you may cancel before it takes effect.

19. General

You may not assign these Terms without our consent; we may assign them to an affiliate or a successor to our business. If any provision is found unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver. Neither party is liable for delay caused by events beyond its reasonable control. These Terms, with any order form and the documents they refer to, are the entire agreement between us about the Service.
